Company Updates
ASGAARD MEDIA saw many changes and advancements between the annual meetings in July of 2010 and the 20th of July, 2011.
In July of 2010 we voted on the official dismissal of our original law firm. We also voted on the conditional maintaining of our original auditors. Both were replaced within a short time of the meeting.
Currently, our corporate counsel has had to recreate their entire portion of the amended SEC filings. The Auditors have had to attempt to recreate the past three years of records as neither the prior attorneys or auditors have provided the paperwork. Appropriate measures have been taken with regard to this.
I have been asked why Asgaard now has only about six projects listed and why some were dropped. The reason we have fewer projects listed is because we are trying to complete the SCE process and streamline as many aspects as possible. Additionally some writers have determined it in their best interests to either attempt to find other producers or self produce and finally, several of the scripts had potential legal problems and it has been determined that until we are publically trading and making a profit Asgaard will not knowingly get into legal battles.
With regard to the meeting this year, all of the items on the agenda were carried and we are moving forward. There were several shareholders notices returned so please make certain that either we or the transfer agent have CURRENT mailing instructions.
The major change arising from this meeting was a change in Directors and Officers. Due to a potential conflict of interest, the President and several others abstained from voting on this, in the end, Karen Pezzuto and Christopher R. Baker were elected as Directors with Ms. Pezzuto being named as Treasurer and Mr. Baker Secretary.
During 2010 and now into 2011 Asgaard has seen some revenue as reflected on the latest financials. The majority of this revenue was generated via Mr. Pezzutos’ production consulting and assistance. In continuance of this until there is an effective trading date, an agreement has been entered into with Canadian film companies Staurolite Ltd. and Merlion Entertainment to assist in the securing of insurance, distribution and marketing of their television production, POTLUCK.

With regard to Asgaard Projects, Some trailer goaled work has been done on both MOUNTAINS OF TROUBLE and MUTANT MINERS, However, due to the current funding situation only a small amount of measurable progress has been made. Once we are approved for trading and there is a reasonable amount of funding available for Asgaard projects, we will begin serious pre-production.
I have been asked by some of you about the purchase of additional shares. Asgaard Media is not currently offering any shares of the company. We understand that some private sales and trades have been done, however we are not offering any for sale at this time. Should you decide to sell or trade shares, please check with an attorney as to the ramifications thereof.
Since our meeting in July, Asgaard has been able to assist in the production of POTLUCK and currently has it be viewed by representatives of two networks and two subscription television services.
A trip was made in November to some of the mining areas in Nevada to get further “B-roll” for MUTANT MINERS and some additional footage was shoot for trailers for MOUNTAINS OF TROUBLE.
It is my hope and desire that we continue forward and that the pace quicken with the receiving of SEC approval. Thank you all for your continued confidence and support.
